This Risk Disclosure & Trading Disclaimer (“Disclaimer”) applies to all users of the PIPN Technologies platform (“PIPN”, “we”, “our”, or “us”).

By accessing or using the PIPN mobile application, website, or related services (the “Platform”), you acknowledge that you have read, understood, and agreed to the terms of this Disclaimer.

Definitions:

“Platform”, “User”, “Marketplace”, “User Content”, “Third-Party Services”, and “Connected Accounts” shall have the meanings assigned by PIPN from time to time.

1. GENERAL RISK WARNING

Trading and investing in financial instruments—including but not limited to Forex, cryptocurrencies, stocks, commodities, and derivatives—involves significant risk.

You may lose some or all of your invested capital.

Trading is not suitable for everyone.

You should only trade with funds you can afford to lose.

1.1 The Platform may experience delays, errors, outages, bugs, or system failures that may affect access to data or services.

2. NO INVESTMENT, FINANCIAL, OR TRADING ADVICE

2.1 PIPN does not provide:

· Investment advice

· Financial advice

· Trading recommendations

· Portfolio management services

2.2 All information, content, data, discussions, signals, strategies, charts, opinions, or performance statistics displayed on PIPN are provided for informational and educational purposes only.

2.3 Nothing on PIPN should be interpreted as:

· A recommendation to buy, sell, or hold any financial instrument

· A guarantee of profit or performance

2.4 Nothing on the Platform creates any fiduciary, advisory, agency, or trust relationship between PIPN and any user.

3. USER-GENERATED CONTENT DISCLAIMER

3.1 Content shared by users—including posts, comments, communities, marketplace listings, signals, or performance claims—does not represent the views of PIPN.

3.2 PIPN does not independently verify the accuracy, completeness, or reliability of user-generated content.

3.3 You rely on such content entirely at your own risk.

4. PERFORMANCE DATA & PNL DISCLAIMER

4.1 PIPN may display trading performance data (including Profit & Loss “PnL”) obtained through third-party integrations or entered by users.

4.2 You acknowledge that:

· PnL data may be delayed, incomplete, inaccurate, or affected by system limitations

· PIPN does not audit, validate, or guarantee broker data

· Differences may exist between displayed data and actual broker statements

4.3 Past performance is not indicative of future results.

5. CONNECTED TRADING ACCOUNTS

5.1 Where users choose to connect trading accounts:

· Connections are facilitated by third-party service providers

· PIPN does not access or control user funds

· PIPN cannot place, modify, or close trades

5.2 PIPN is not responsible for:

· Broker errors

· API outages or inaccuracies

· Account disconnections or data mismatches

6. MARKETPLACE & THIRD-PARTY SERVICES DISCLAIMER

6.1 PIPN may host a marketplace where users list products or services.

6.2 PIPN:

· Is not a party to any transaction

· Does not guarantee quality, delivery, legality, or outcomes

· Does not endorse sellers or buyers

6.3 Any transaction entered into through the Platform is done at your own risk.

7. NO GUARANTEES OR ASSURANCES

7.1 PIPN does not guarantee:

· Profits

· Accuracy of data

· Trading success

· Platform availability without interruption

7.2 Any claim of “guaranteed returns” made by users is unauthorized and prohibited.

8. REGULATORY STATUS

8.1 PIPN is a technology and social platform, not a regulated financial institution.

8.2 PIPN is not licensed by:

· The Securities and Exchange Commission (SEC) Nigeria

· The Central Bank of Nigeria (CBN)

· Or any other regulatory authority

to provide investment or brokerage services.

9. USER RESPONSIBILITY

9.1 You are solely responsible for:

· Your trading decisions

· Evaluating the suitability of strategies

· Understanding applicable laws in your jurisdiction

9.2 You should seek independent financial or professional advice where necessary.

10. NO WARRANTY CLAUSE

The Platform is provided “as is” and “as available”, without warranties of any kind, express or implied.

11. LIMITATION OF LIABILITY

11.1 To the maximum extent permitted by applicable law, PIPN shall not be liable for:

· Trading losses

· Financial damages

· Indirect or consequential losses

· Reliance on Platform content or data

11.2 Use of the Platform is entirely at your own risk.

11.3 PIPN shall not be liable for losses arising from events beyond its reasonable control, including market volatility, regulatory actions, cyber incidents, or third-party service failures.

12. UPDATE CLAUSE

PIPN may update this Disclaimer from time to time. Continued use of the Platform constitutes acceptance of the updated terms.

13. ACKNOWLEDGEMENT & ACCEPTANCE

By using PIPN, you confirm that:

· You understand the risks involved in trading

· You accept full responsibility for your actions

· You irrevocably release and hold PIPN harmless from claims arising from your trading decisions or reliance on Platform content.

If you do not agree with this Disclaimer, you must not use the Platform.

14. SURVIVAL CLAUSE

This Disclaimer shall survive account suspension or termination.
