Welcome to PIPN Technologies (“PIPN”, “we”, “our”, or “us”).

These Terms of Service (“Terms”) govern your access to and use of the PIPN mobile application, website, and related services (collectively, the “Platform”).

By accessing or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms.

If you do not agree, please do not use the Platform.

1. ELIGIBILITY

1.1 You must be at least 18 years old to use PIPN.

1.2 By using the Platform, you confirm that you are legally capable of entering into binding agreements under Nigerian law.

1.3 PIPN reserves the right to suspend or terminate accounts that do not meet eligibility requirements.

2. DESCRIPTION OF THE PLATFORM

2.1 PIPN is a social and analytics platform for traders, allowing users to:

· Interact with other traders

· Share insights and content

· Display performance data using third-party integrations

· Participate in communities and marketplaces

2.2 PIPN IS NOT:

· A broker

· An investment advisor

· A fund manager

· A financial institution

2.3 PIPN does not execute trades, hold user funds, or provide investment recommendations.

3. NO INVESTMENT OR FINANCIAL ADVICE

3.1 All content on PIPN is provided for educational and informational purposes only.

3.2 Nothing on the Platform constitutes:

· Investment advice

· Trading advice

· A recommendation to buy or sell any financial instrument

3.3 You are solely responsible for your trading decisions and financial outcomes.

4. TRADING RISK DISCLOSURE

4.1 Trading financial instruments involves significant risk, including the possible loss of all invested capital.

4.2 Past performance displayed on PIPN does not guarantee future results.

4.3 PIPN shall not be responsible for:

· Trading losses

· Missed opportunities

· Decisions made based on Platform content

5. USER ACCOUNTS

5.1 You are responsible for:

· Maintaining the confidentiality of your login credentials

· All activities that occur under your account

5.2 You agree to provide accurate and complete information during registration.

5.3 You may not:

· Impersonate another person

· Use false or misleading identity information

· Create multiple accounts to abuse Platform features

6. CONNECTED ACCOUNTS & PERFORMANCE DATA

6.1 PIPN may allow users to connect trading accounts using third-party services.

6.2 You acknowledge that:

· Performance data is provided by third-party APIs

· PIPN does not verify or audit broker data

· Errors, delays, or inaccuracies may occur

6.3 PIPN is not liable for any loss or decision arising from reliance on performance data.

7. BADGES, SUBSCRIPTIONS & PAYMENTS

7.1 PIPN offers optional paid badges that unlock additional features.

7.2 Badge subscriptions:

· Do not guarantee profits

· Do not imply endorsement or verification

· Are billed on a recurring basis

7.3 Subscription fees are non-refundable, except where required by law.

7.4 PIPN reserves the right to modify badge features, pricing, or limits with notice.

8. MARKETPLACE

8.1 PIPN may provide a marketplace for users to list products or services.

8.2 PIPN:

· Is not an investment manager

· Does not guarantee success, quality, or outcomes

· Does not provide financial advice

8.3 Users must not list:

· Guaranteed profit services

· Scam or fraudulent offerings

· Illegal or unlicensed financial products

8.4 PIPN reserves the right to remove listings or suspend sellers at its discretion.

9. COMMUNITY RULES & CONTENT

9.1 You agree not to post content that:

· Is false or misleading

· Promises guaranteed returns

· Promotes scams or illegal schemes

· Harasses or impersonates others

9.2 PIPN may remove content or communities that violate these Terms or Community Guidelines.

10. INTELLECTUAL PROPERTY

10.1 All Platform content, software, branding, and trademarks belong to PIPN Technologies, unless otherwise stated.

10.2 You may not copy, modify, distribute, or exploit Platform content without written permission.

11. DATA PROTECTION & PRIVACY

11.1 PIPN collects and processes personal data in accordance with:

· The Nigeria Data Protection Regulation (NDPR)

· Our Privacy Policy

11.2 By using the Platform, you consent to such data processing.

12. TERMINATION

12.1 PIPN may suspend or terminate your account if:

· You violate these Terms

· You engage in fraudulent or abusive behavior

· Required by law or regulation

12.2 Upon termination, your right to use the Platform ends immediately.

13. LIMITATION OF LIABILITY

13.1 To the maximum extent permitted by Nigerian law, PIPN shall not be liable for:

· Trading losses

· Indirect or consequential damages

· Loss of data, profits, or opportunities

13.2 Your use of the Platform is at your sole risk.

14. INDEMNITY

You agree to indemnify and hold PIPN harmless from any claims, losses, or damages arising from:

· Your use of the Platform

· Your violation of these Terms

· Your interaction with other users

15. MODIFICATIONS TO TERMS

15.1 PIPN may update these Terms from time to time.

15.2 Continued use of the Platform after updates constitutes acceptance of the revised Terms.

16. GOVERNING LAW & DISPUTE RESOLUTION

16.1 These Terms are governed by the laws of the Federal Republic of Nigeria.

16.2 Any dispute shall be resolved exclusively in Nigerian courts.
