MARKETPLACE TERMS & CONDITIONS

These Marketplace Terms (“Marketplace Terms”) govern the listing, purchase, delivery, and payment of services on the PIPN Marketplace, operated by PIPN Technologies (“PIPN”, “we”, “our”, or “us”).

By using the marketplace as a buyer or seller, you agree to these Marketplace Terms, together with PIPN’s Terms of Service, Privacy Policy, and Risk Disclosure.

1. NATURE OF THE PIPN MARKETPLACE

1.1 The PIPN Marketplace allows verified users (“Sellers”) to list and offer digital trading-related services, including but not limited to:

· Trading mentorship

· Trading signals

· Educational content and courses

· Tools, resources, and trading utilities

1.2 PIPN provides the technology infrastructure, payment handling, verification process, and service oversight, but does not guarantee trading outcomes or profits.

2. ROLE OF PIPN

2.1 PIPN acts as:

· A platform facilitator

· A payment intermediary

· A service completion verifier

2.2 PIPN:

· Is not an investment manager

· Does not provide financial advice

· Does not guarantee the quality, success, or profitability of any listed service

2.3 All trading decisions remain the sole responsibility of users.

3. ELIGIBILITY & BADGE-BASED LISTING LIMITS

3.1 Marketplace access is subject to account status and badge level.

3.2 Monthly listing caps:

Badge	Maximum Listings per Month
Bronze	1
Silver	3
Gold	10
Diamond	20

3.3 Listing limits reset monthly and do not roll over.

4. SELLER RESPONSIBILITIES

4.1 Sellers are responsible for:

· Accurate and honest service descriptions

· Delivering services as advertised

· Completing services within the stated timeframe

· Complying with Nigerian laws and regulations

4.2 Sellers must not:

· Guarantee profits or “risk-free” returns

· Post false or manipulated performance records

· Misrepresent qualifications or experience

· Offer illegal, fraudulent, or unlicensed services

4.3 Any violation may result in suspension, forfeiture of earnings, or account termination.

5. BUYER RESPONSIBILITIES

5.1 Buyers are responsible for:

· Reviewing service details before purchase

· Understanding that trading involves risk

· Providing required cooperation for service completion (e.g. onboarding, feedback)

5.2 Buyers acknowledge that:

· Past performance does not guarantee future results

· Badge levels do not constitute endorsement by PIPN

· Losses may occur even when services are delivered properly

6. PAYMENTS, FEES & WITHDRAWALS

6.1 Payment Processing

· All marketplace payments are made within the PIPN platform

· Payments are held in a pending balance on the seller’s dashboard

6.2 Platform Fee

· PIPN charges a 10% service fee on every successful transaction

· The fee is automatically deducted before seller withdrawal

6.3 Withdrawal Conditions

Sellers may only withdraw earnings when:

· The service has been fully delivered

· Delivery has been verified and approved by PIPN admin

· No unresolved dispute exists

6.4 PIPN reserves the right to:

· Delay withdrawals for verification

· Withhold funds where fraud, misrepresentation, or breach is suspected

7. SERVICE VERIFICATION & COMPLETION

7.1 PIPN may verify service completion by:

· Reviewing delivery evidence

· Requesting buyer confirmation

· Conducting internal compliance checks

7.2 Verification does not imply:

· Endorsement of the seller

· Approval of trading results

· Guarantee of buyer satisfaction

8. DISPUTES & REFUNDS

8.1 In the event of a dispute:

· PIPN may review evidence from both parties

· PIPN’s decision on service completion status is final

8.2 Refunds may be issued where:

· Services were not delivered

· Misrepresentation is proven

· Platform policies were violated

8.3 Trading losses alone do not qualify for refunds.

9. PROHIBITED MARKETPLACE ACTIVITIES

The following are strictly prohibited:

· Guaranteed profit claims

· Ponzi or investment schemes

· Fake PnL or account manipulation

· Signal selling with “no loss” claims

· Any activity that violates Nigerian law

10. SUSPENSION & ENFORCEMENT

10.1 PIPN may:

· Remove listings

· Suspend marketplace access

· Freeze balances

· Terminate accounts

for violations of these Marketplace Terms or other PIPN policies.

11. LIMITATION OF LIABILITY

11.1 To the fullest extent permitted by Nigerian law:

· PIPN is not liable for trading losses

· PIPN does not guarantee income or success

· Users participate at their own risk

12. MODIFICATIONS

12.1 PIPN may update these Marketplace Terms at any time.

12.2 Continued use of the marketplace constitutes acceptance of updated terms.

13. GOVERNING LAW

These Marketplace Terms are governed by the laws of the Federal Republic of Nigeria.
